Dealer Agreement

This Dealer Agreement is between RYSAG INDIA PRIVATE LIMITED ("RYSAG") and the buying organisation you register ("you", "Dealer"). It applies in addition to the Terms of Use. By registering a dealer organisation, the person accepting confirms they are authorised to bind that business.
1. Eligibility and standing
You confirm that:
- the business exists and carries on business lawfully in India;
- the legal name, constitution, addresses, PAN and (where you hold one) GSTIN you submit are true and current;
- you are buying for lawful resale or professional agricultural use, not as a consumer; and
- you are not debarred by any authority from dealing in agricultural inputs.
2. Licences
- You will upload every licence relevant to what you buy — pesticide (PL), fertilizer (FL), seed (SL) — with its number, issuing authority and validity dates, together with a legible copy of the document.
- You warrant that each licence is genuine, current, issued to the entity registered on RYSAG, and covers the premises to which goods are delivered.
- You will keep licences renewed and update RYSAG before expiry. An expired licence pauses purchasing in that category automatically.
- You will notify RYSAG within 7 days if a licence is suspended, cancelled, varied or surrendered, or if proceedings are begun against you under the Insecticides Act, 1968, the Fertilizer (Control) Order, 1985 or the Seeds Act, 1966.
- RYSAG may verify any licence with the issuing authority at any time, and may suspend purchasing while a verification is pending.
3. Ordering and payment
- All orders are fully prepaid. Stock is reserved when you place the order and released if payment is not completed.
- An order is confirmed only on the payment provider's verified webhook.
- Prices are the vendor's and are inclusive of GST as shown at checkout.
- You are responsible for the accuracy of the delivery address, receiver name and mobile number you enter. The state you select determines whether the invoice carries CGST+SGST or IGST — check it.
4. Title, risk and receiving goods
- Title and risk in the goods pass to you on delivery.
- Before signing the lorry receipt, count the cartons and check the seals. Endorse any shortage, tampering or visible damage on the transporter's copy of the LR.
- Claims are governed by the Refund & Cancellation Policy — in particular the 48-hour window and the evidence required.
5. Your obligations in handling the goods
- Store, handle, transport and display the goods as the label, the leaflet and the applicable rules require, including any requirement as to premises, temperature or segregation from food and feed.
- Maintain the registers, records and stock books required of a licensee, and produce them to inspectors as required.
- Do not sell restricted products to any person who does not hold the licence required to buy them, and do not sell to end users contrary to any restriction on the label.
- Do not repack, relabel, alter, dilute or tamper with any product or its packaging.
- Do not sell expired stock, and withdraw stock from sale on any recall notified by the vendor or an authority. Cooperate with recalls.
- Comply with the Legal Metrology Act, 2009 and the rules on packaged commodities in anything you resell.
6. Anti-diversion
Goods bought on RYSAG are for the territory and purpose you declare. You will not divert them for export, for use as a precursor to anything unlawful, or to any person you know or suspect will use them contrary to law.
7. Data and consent
You consent to RYSAG processing your business and personal data as the Privacy Policy describes, including sharing your business identity and delivery details with the vendor whose goods you buy — which is necessary for them to raise the tax invoice and dispatch.
8. Suspension
RYSAG may suspend purchasing, hold an order, or suspend the account where a licence lapses or fails verification, where a payment is disputed, or where there is a reasonable suspicion of breach or fraud. The reason is recorded and communicated.
9. Term, termination and effect
This Agreement runs until terminated. Either party may terminate on notice; RYSAG may terminate immediately for a material breach or a regulatory direction. Termination does not affect orders already confirmed, amounts due, or obligations that by their nature survive — including clauses 5, 7 and 10.
10. Liability
Your remedies for the goods lie against the vendor who sold them. RYSAG's liability is limited as set out in the Terms of Use.
11. Version
Your acceptance of this Agreement is recorded against your account with the version accepted. Material changes are published with a new version and, where they materially affect your obligations, acceptance is sought again.
