These Terms of Use govern your access to rysag.com, the RYSAG and RYSAG Sellers applications and vendor storefronts at *{seller}*.rysag.com (the "Platform"), operated by RYSAG INDIA PRIVATE LIMITED ("RYSAG").

By creating an account or placing an order you agree to these Terms. If you do not agree, do not use the Platform.
1. What RYSAG is
RYSAG is an online marketplace. Vendors — manufacturers and authorised distributors of agricultural inputs — list goods; licensed dealers buy them in wholesale cartons.
The contract of sale for goods is between the vendor and the dealer. RYSAG is not the seller of those goods, does not own them, and does not take title to them at any point. We display the identity of the selling entity on every listing and on every order and invoice, as required by the Consumer Protection (E-Commerce) Rules, 2020.
RYSAG is an intermediary within the meaning of section 2(1)(w) of the Information Technology Act, 2000 in respect of listing content supplied by vendors.
RYSAG collects payment from dealers as the vendors' collection agent, deducts commission, taxes and applicable levies, and settles the balance to the vendor.
2. Who may use the Platform
The Platform is strictly business-to-business. You may use it only if you are:
- a business entity or a proprietor carrying on business in India;
- competent to contract under the Indian Contract Act, 1872; and
- buying for lawful resale or professional agricultural use — not as a consumer for personal use.
Buying requires an approved dealer account. Selling requires an approved vendor account.
3. Accounts and security
Your registered mobile number is your identity. Access is by one-time code; there is no password. You are responsible for keeping control of the number and the device, and for everything done through your account. Tell us immediately if you lose control of either, and we will revoke active sessions.
You must give true, current and complete information, and keep it updated. We may verify any document you submit with the authority that issued it.
4. Licence gating — the rule that matters most
Categories carrying a statutory licence requirement can be purchased only while you hold a matching, unexpired licence:

This is enforced at checkout, on every order — not once at signup. An expired licence pauses purchasing in the gated category immediately. Keeping your licences renewed and uploaded is your responsibility.
Attempting to buy restricted goods without the licence, or for onward sale to someone who lacks it, is a serious breach and ends the account.
5. Listings, product information and availability
Vendors supply listing content — descriptions, composition, label claims, registration numbers and images — and are responsible for its accuracy. Label information is reproduced as the vendor provides it.
We may remove or suspend any listing that appears unlawful, unregistered, misbranded, or in breach of the Acceptable Use Policy, with the reason recorded.
Availability shown is indicative until stock is reserved at checkout. Nothing on the Platform is an offer; your order is the offer.
6. Prices, taxes and quotes
Prices are in Indian Rupees and are set by the vendor. The price you see at checkout is the price you pay: it includes GST at the applicable rate and any charges shown. There are no post-checkout additions.
The Platform re-derives every figure on the server. A checkout summary is valid for a limited period; if price, availability or a scheme has changed when you confirm, the order is refused and the new total is shown for you to confirm again. It is never silently repriced.
7. Orders, payment and confirmation
- All orders are fully prepaid. There is no cash on delivery.
- Placing an order creates an order in PAYMENT PENDING and reserves stock for a limited period.
- An order is CONFIRMED only when the payment gateway's signature-verified webhook confirms the payment. Returning from a payment page proves nothing on its own, and no client, staff member or support action can mark an order paid.
- If payment fails or is not completed, reserved stock is released and the order does not proceed.
- A multi-vendor cart splits into one vendor order per seller, each with its own invoice and dispatch.
8. Cancellation, refunds, delivery
See the Refund & Cancellation Policy and the Shipping & Delivery Policy. They form part of these Terms.
9. Invoices and transport documents
The vendor raises the GST tax invoice in its own name. Where the consignment value crosses the threshold in Rule 138 of the CGST Rules, an e-Way Bill is generated. A transporter lorry receipt is attached where the vendor uses a transporter. All of these appear on your order.
RYSAG raises a separate invoice to the vendor for its commission and charges GST on it, and collects tax at source under section 52 of the CGST Act where applicable.
10. Your conduct
The Acceptable Use Policy forms part of these Terms. In short: do not misrepresent licences, access data that is not yours, probe or overload the Platform, deal in banned or counterfeit goods, sell to unlicensed buyers, or abuse promotions.
11. Intellectual property
The Platform, its software, design and content (other than vendor and user content) belong to RYSAG. You get a limited, revocable, non-transferable right to use it for its intended purpose. Vendor and dealer content remains theirs; by uploading it to the Platform you grant RYSAG a non-exclusive, royalty-free licence to host, display and reproduce it for the purpose of operating and promoting the marketplace.
12. Disclaimers
The Platform is provided on an "as is" and "as available" basis. We do not warrant uninterrupted or error-free operation.
RYSAG does not manufacture, test or certify any product. Warranties as to quality, fitness, efficacy, composition, shelf life and labelling are given by the vendor and are enforceable against the vendor. Always read the label and the leaflet before use. Agricultural inputs are hazardous if misused; follow the dosage, waiting periods and protective equipment stated on the label and any direction of the Agriculture Department.
Delivery estimates are indicative, not guaranteed.
13. Liability
Nothing here excludes liability that cannot be excluded by law, including for death or personal injury caused by negligence or for fraud.
Subject to that: RYSAG is not liable for indirect, incidental, special or consequential loss, or for loss of profit, business, crop yield or goodwill. RYSAG's total aggregate liability arising out of or in connection with any order is limited to the commission RYSAG actually earned on that order. Claims about the goods themselves lie against the vendor.
14. Indemnity
You will indemnify RYSAG against claims, losses and costs arising from your breach of these Terms, your violation of any law, or your infringement of another party's rights.
15. Suspension and termination
We may suspend or terminate an account, or withhold a specific order, where we reasonably believe there is a breach of these Terms or of law, a risk of fraud, or a regulatory direction requiring it. Where we do, we record the reason. Amounts properly due to a suspended vendor are settled on the normal cycle after any investigation concludes.
You may close your account at any time from Account → Privacy & data. Statutory records are retained as the Privacy Policy describes.
16. Force majeure
Neither party is liable for failure caused by events beyond its reasonable control, including natural disaster, epidemic, war, riot, strike, failure of public infrastructure or telecommunication, or an act of government.
17. Governing law and disputes
These Terms are governed by the laws of India. Subject to clause 18, the courts at Hyderabad, Telangana have exclusive jurisdiction.
Any dispute that is not resolved through the grievance process within 30 days may be referred to arbitration by a sole arbitrator under the Arbitration and Conciliation Act, 1996. The seat and venue is Hyderabad, Telangana; the language is English.
18. Grievances
Raise any issue from Support in your account. Escalation, officers and timelines are in the Grievance Redressal Policy. Nothing in these Terms limits rights you have under the Consumer Protection Act, 2019 where it applies to you.
19. Changes to these Terms
We may amend these Terms. Material changes are published here with a new version number and take effect for orders placed after publication. The version you accepted is recorded against your account.
